These terms govern Peregrino's services and the use of peregrino.co. By engaging our services or using this site, you accept them.
§ 1Who provides the service

The company answerable to you is the one that signed the agreement with the relevant client. These pages refer to both as Peregrino. Write to info@peregrino.co if you need to know which applies to a particular case.
§ 2What we do
Peregrino designs the customer journey architecture, builds or integrates whichever solution fits, and operates the result. The specific scope, deliverables, service levels and pricing of each engagement are set out in a signed proposal or agreement. Where these terms and that agreement conflict, the agreement prevails.
§ 3Client obligations
The client is the Controller of its own customers' personal data. The client therefore undertakes to:
- Obtain and keep the prior, express and informed consent of data subjects before we start communicating on its behalf, as Ley 1581 de 2012 requires.
- Comply with the WhatsApp Business Messaging Policy and the Meta Platform Terms, including the prohibition on unsolicited messages.
- Keep its own privacy policy published and handle data subject requests.
- Provide accurate information about its business for template creation and account verification.
- Hold the rights to the content, trademarks and data it hands us.
Peregrino may suspend the service, without liability, if usage breaches these obligations or puts the account's standing with Meta at risk.
§ 4Acceptable use
The services may not be used to send unsolicited communications, impersonate people or organisations, distribute unlawful, misleading or infringing content, or for any purpose prohibited by Meta's policies or by applicable law.
§ 5Third-party platforms
Delivery depends on platforms we do not control, notably Meta's WhatsApp Business Platform. Their terms, conversation pricing, sending limits and decisions about phone number quality or template approval apply directly to the client. Peregrino is not answerable for outages, policy changes or restrictions imposed by those platforms.
§ 6Pricing and payment
We quote by deliverable and by value generated, not by the hour. Prices, billing frequency and currency are agreed in each proposal. Meta's per-conversation and per-message charges are the client's cost and are billed separately or charged directly to the client's registered payment method.
§ 7Intellectual property
The client keeps ownership of its trademarks, content, data and the accounts it creates. Peregrino keeps ownership of its methodologies, components, libraries and pre-existing or generally applicable tooling. For deliverables built specifically for the client, the client receives a perpetual licence to use them in its operation, as detailed in the agreement.
§ 8Confidentiality
Each party will keep the other's information received in the course of the engagement confidential and use it only to perform the engagement. The obligation survives five years after the relationship ends.
§ 9Warranties and liability
We provide the services with professional care. Unless the agreement says otherwise, we do not warrant particular commercial results or the uninterrupted availability of third-party platforms. Peregrino is not liable for indirect damages, lost profits or data loss attributable to third-party platforms or to the client itself.
The liability regime for each engagement, including any monetary cap, is agreed in the relevant services agreement. Liability for wilful misconduct or gross negligence is never limited.
§ 10Term and termination
The engagement runs for the period set in the agreement. Either party may terminate on the notice set out there. On termination we return or delete the client's data within 90 days, and the client keeps its Meta accounts and phone numbers.
§ 11Governing law
Services provided by PEREGRINO DIGITAL S.A.S. are governed by Colombian law, with jurisdiction in the courts of Bogotá D.C. Services provided by Peregrino Digital Inc. are governed by the law of the State of Delaware, United States.
